1. Who you are contracting with

These Terms & Conditions ("Terms") govern your access to and use of the digital products, tools, and downloads (the "Service") offered by Allan Kelly, an individual sole trader operating under the trading name "Modulr" ("we", "us", "our"). By purchasing, downloading, or using the Service, you enter into a binding agreement with Allan Kelly.

2. Acceptance

By accessing, purchasing, downloading, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service. You confirm that you are of legal age in your jurisdiction to enter into this agreement, and where you are using the Service on behalf of an organisation, that you have authority to bind it.

3. The Service

Modulr provides digital tools, scripts, presets, templates, and related resources intended for designers, artists, and content creators. The exact functionality of each product is described in its dedicated detail section on the homepage. The Service is provided on an "as-is" basis and we do not guarantee uninterrupted or error-free operation.

4. Licence and restrictions

Subject to your payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to use the purchased product for your own personal or commercial creative work.

You must not: (a) resell, redistribute, sublicense, or share the product with third parties; (b) reverse engineer, decompile, or disassemble the product except where permitted by law; (c) remove or alter any copyright, trademark, or proprietary notices; or (d) use the product to build a competing product.

5. Acceptable use

You must not misuse the Service. In particular, you must not: (a) use the Service for any unlawful, fraudulent, or deceptive purpose; (b) send spam or unsolicited communications; (c) infringe any third party's intellectual property, privacy, or other rights; (d) introduce malware, viruses, or harmful code; or (e) probe, scan, scrape, or otherwise interfere with the security or integrity of the Service.

6. Intellectual property

All intellectual property rights in the Service — including source code, scripts, templates, presets, documentation, branding, and visual design — remain the sole property of Allan Kelly (or our licensors). No rights are transferred to you other than the limited licence set out in section 4.

7. Payment, billing, and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Prices, taxes, billing, cancellations, and refund mechanics are governed by Paddle's Buyer Terms. See our Refund Policy for our policy on refunds.

8. Suspension and termination

We may suspend or terminate your access to the Service at any time, with or without notice, for: (a) material breach of these Terms; (b) non-payment; (c) suspected fraud or security risk; or (d) repeated or serious policy violations.

9. Disclaimers and limitation of liability

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the 12 months preceding the claim. We exclude liability for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation would be unlawful.

10. Indemnity

You agree to indemnify us against any claims, damages, or costs arising from your misuse of the Service, your violation of these Terms, or your infringement of any third party's rights.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which Allan Kelly resides, and disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
